By exploring the governance issues in small, privately held companies, it highlights several of the reasons that such firms cannot respond to change, are often under-capitalized and fail to plan for succession until it is too late. It is sobering reading for owners and good fodder for the LBO firms looking for opportunities.

Dr. Levinson's research throws interesting light on why companies fail from a viewpoint of the psychological background of the key decision makers. Although the findings are primarily interpreted within the context of family businesses, one is led to conjecture, after the recent breakdowns in governance witnessed in larger firms and their advisors, on the mental state of some of the exposed senior executives.
